Terms of Service

1. Agreement to these Terms

These Terms of Service (“Terms”) are a binding agreement between you and Ladill (“Ladill”, “we”, “us”). They apply to our websites, mobile apps, and services (the “Services”). By creating an account, downloading our app, or using the Services, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.

2. Eligibility and accounts

• You must be at least 18 years old and able to enter into a binding contract.
• You are responsible for the information you provide and for keeping it accurate.
• You are responsible for safeguarding your login credentials and for all activity under your account.
• Notify us promptly at hello@ladill.com of any unauthorised use or security breach.

3. The Services

Ladill provides a suite of business tools under one account — including payments and storefronts, payment and donation links, QR codes, events and ticketing, business email, domains, and hosting. Some features are provided directly by Ladill and others through third-party partners. We may add, change, or discontinue features at any time.

4. Payments, fees, and payouts

• Platform fees: certain Services charge a platform fee, shown before you transact. Fees and applicable taxes are your responsibility.
• Payment processing: payments are handled by our payment partners and the relevant mobile-money or card networks. Your use of those services may be subject to their terms.
• Wallet and payouts: funds you collect may be held in your Ladill wallet and paid out to your nominated account, subject to verification, holds, and anti-fraud checks.
• Subscriptions and renewals: paid plans and products (such as domains and hosting) may renew automatically until cancelled. See Refunds & Cancellations.
• Chargebacks and reversals: you are responsible for chargebacks, refunds, and reversals relating to your transactions.

5. Acceptable use

You agree not to use the Services to:

• Break any law or regulation, or facilitate illegal activity.
• Engage in fraud, money laundering, deception, or sell prohibited or restricted goods and services.
• Infringe intellectual-property rights or misuse others’ personal data.
• Upload malware, or attempt to disrupt, overload, probe, or gain unauthorised access to the Services.
• Send spam or unlawful, harassing, hateful, or harmful content.
• Impersonate others or misrepresent your affiliation.
• Resell or abuse the Services in a way that harms Ladill or its users.

We may investigate suspected violations and take action, including removing content and suspending accounts.

6. Your content

You retain ownership of the content you submit (“Your Content”). You grant Ladill a worldwide, non-exclusive licence to host, store, process, and display Your Content solely to operate and improve the Services. You are responsible for Your Content and for having the rights to use it. You represent that Your Content does not violate the law or these Terms.

7. Third-party services

Some Services rely on third parties (for example payment processors, domain registrars, and hosting providers). We are not responsible for third-party services, and your use of them may be governed by their separate terms.

8. Intellectual property

The Services, including our software, branding, and content (excluding Your Content), are owned by Ladill or our licensors and are protected by law. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Services as permitted by these Terms. You may not copy, modify, reverse-engineer, or create derivative works except as allowed by law.

9. Suspension and termination

You may stop using the Services and delete your account at any time (see Account & Data Deletion). We may suspend or terminate your access if you breach these Terms, if required by law, or to protect the Services or other users. On termination, your right to use the Services ends, though provisions that by their nature should survive will continue to apply.

10. Disclaimers

The Services are provided “as is” and “as available” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure.

11. Limitation of liability

To the maximum extent permitted by law, Ladill and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill. Our total liability for any claim relating to the Services will not exceed the greater of the amount you paid us in the three months before the claim or the equivalent of fifty US dollars.

12. Indemnification

You agree to indemnify and hold harmless Ladill and its affiliates from claims, damages, and expenses arising out of your use of the Services, Your Content, or your breach of these Terms.

13. App-store terms

If you obtained our app from the Apple App Store or Google Play, you also agree to that store’s terms. You acknowledge that these Terms are between you and Ladill only, not with Apple or Google, and that the store providers are not responsible for the app or its support. Where you use an Apple app, Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

14. Changes to these Terms

We may update these Terms from time to time. We will update the “Last updated” date and, for material changes, provide notice through the Services or by email. Continued use after changes take effect means you accept the updated Terms.

15. Governing law and disputes

These Terms are governed by the laws of the Republic of Ghana, without regard to conflict-of-laws rules. You agree to the exclusive jurisdiction of the courts of Ghana for any dispute, except where applicable law gives you the right to bring proceedings elsewhere.
