Ladill Terms of Service

Welcome to Ladill (“we,” “our,” or “us”). These Terms of Service (“Terms”) govern your access to and use of the Ladill website, mobile applications, browser extensions, and any related services, features, or content (collectively, the “Platform”).

By creating an account, accessing, or using the Platform, you confirm that you have read, understood, and agree to be legally bound by these Terms. If you do not agree, you must immediately cease using the Platform.

These Terms constitute a binding legal agreement between you and Ladill, Inc. (or its applicable affiliate).

1. Introduction

Ladill is a faith-based social platform designed to inspire, connect, and empower users through testimonies, prayers, encouragement, and community interaction. We provide tools for sharing personal stories, audio messages, videos, live sessions, and more — all within a safe, respectful, and uplifting environment.

Your use of the Platform is subject to these Terms, our Community Guidelines, and our Privacy Policy, each of which is incorporated herein by reference.

2. Eligibility

To use Ladill, you must:

• Be at least 13 years old (or the minimum age required in your country to consent to data processing without parental approval).
• Have the legal capacity to enter into binding contracts.
• Not be prohibited from using the Platform under applicable law or previously suspended or removed from Ladill.
• Use the Platform in full compliance with all applicable local, state, national, and international laws and regulations.

Parents and guardians are responsible for monitoring and supervising minors under 13 who may access the Platform. We do not knowingly collect personal information from children under 13 without verifiable parental consent.

3. Your Account

Account Creation

You must register with accurate, current, and complete information. You may not:

• Use false identities or impersonate any person or entity.
• Create an account for anyone other than yourself (unless authorized as a parent/guardian or organization admin).
• Use automated tools (bots, scripts) to create accounts.

Account Security

You are solely responsible for:

• Maintaining the confidentiality of your login credentials (username, password, etc.).
• All activity that occurs under your account, whether by you or a third party.
• Immediately notifying us at support@ladill.com if you suspect unauthorized access.

We reserve the right to disable any account at our discretion if we believe security has been compromised.

Account Termination

You may delete your account at any time via Settings > Account > Delete Account. Upon deletion:

• Your profile and content will be permanently removed (subject to legal retention requirements).
• You will lose access to all features and data.

4. Your Content

Ownership & License

You retain full ownership of all content you create, upload, post, or share on Ladill (“User Content”), including text, images, audio, video, and live streams.

By posting User Content, you grant Ladill a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to:

• Host, store, cache, display, and distribute your content on the Platform.
• Modify, adapt, or format it for technical compatibility (e.g., resizing images, transcoding videos).
• Use it for promotional purposes (e.g., featuring testimonies on the homepage, with attribution).
• Analyze it to improve services, prevent abuse, or enforce policies.

This license ends when you delete your content or account, except where it has been shared publicly or used in aggregated, anonymized analytics.

Your Responsibilities

You represent and warrant that:

• You own or have all necessary rights to post your User Content.
• Your content does not infringe copyrights, trademarks, privacy, publicity, or other rights.
• Your content complies with these Terms and our Community Guidelines.

You are solely responsible for the accuracy, quality, legality, and appropriateness of your User Content.

5. Prohibited Conduct

You agree not to use the Platform to:

Ladill reserves the right to:

• Remove any violating content without notice.
• Suspend or terminate accounts for repeated or severe violations.
• Report illegal activity to law enforcement.

6. Intellectual Property

Ladill’s Rights

All text, graphics, logos, icons, images, audio, video, code, and software used on the Platform (excluding User Content) are the exclusive property of Ladill or its licensors and protected by copyright, trademark, and other intellectual property laws.

You may not:

• Copy, modify, or create derivative works of the Platform.
• Remove or alter any copyright, trademark, or proprietary notices.
• Use Ladill’s name, logo, or trademarks without written permission (except for fair use in sharing links).

DMCA Takedowns

If you believe your copyright has been infringed, submit a notice to legal@ladill.com with:

• Identification of the copyrighted work.
• Location of the infringing material.
• Your contact information and a statement of good faith.

We respond promptly to valid DMCA notices.

7. Termination

By Ladill

We may suspend or terminate your access immediately, without prior notice, if you:

• Breach these Terms or Community Guidelines.
• Engage in conduct that harms users, staff, or the Platform.
• Use the Platform for commercial purposes without authorization.
• Are under investigation for illegal activity.

By You

You may stop using Ladill at any time. To fully terminate:

1. Go to Settings > Account.
2. Select Delete Account.
3. Confirm via email verification.

Upon termination:

• Your content will be deleted (within 30 days).
• You lose access to all features.
• Any active subscriptions will not be refunded.

8. Disclaimer of Warranties

LADILL IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, express or implied, including but not limited to:

• Merchantability
• Fitness for a particular purpose
• Non-infringement
• Availability or uptime
• Accuracy of user-generated content

We do not guarantee that:

• The Platform will be secure, error-free, or uninterrupted.
• User Content will be stored indefinitely.
• Results from using the Platform will meet your expectations.

You use Ladill at your own risk.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LADILL, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE GREATER OF:

• $100 USD, or
• The amount you paid Ladill in the past 12 months.

Some jurisdictions do not allow limitation of liability, so the above may not apply to you.

10. Changes to These Terms

We may update these Terms from time to time to reflect changes in:

• Our services
• Technology
• Legal requirements
• Community feedback

Notification Process:

1. We’ll post the updated Terms on ladill.com/terms.
2. We’ll update the “Last Updated” date at the top.
3. For material changes, we’ll provide in-app notice or email.

Your continued use of the Platform after changes constitutes acceptance of the new Terms.

If you do not agree with updated Terms, you must stop using Ladill and delete your account.

11. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles.

Any dispute arising from these Terms shall be resolved through:

1. Informal negotiation (30 days).
2. If unresolved, binding arbitration in Wilmington, Delaware under the rules of the American Arbitration Association (AAA).
3. No class actions — claims must be brought individually.

You may opt out of arbitration within 30 days of account creation by emailing legal@ladill.com.

12. Miscellaneous

• Entire Agreement: These Terms, along with our Privacy Policy and Community Guidelines, constitute the full agreement between you and Ladill.
• Severability: If any provision is unenforceable, the remainder remains in effect.
• No Waiver: Failure to enforce a right does not waive it.
• Assignment: You may not transfer your account. Ladill may assign these Terms without restriction.
• Force Majeure: We are not liable for delays due to events beyond our control (e.g., natural disasters, cyberattacks).
